Services Terms & Conditions

1. Introduction

These terms and conditions (“Terms”) govern the use of HR 4Sight’s employee handbook services (collectively, “Services”). By accessing or using the Services, you agree to be bound by these Terms. 

2. Handbooks

HR 4Sight offers the creation of new employee handbooks or revisions to existing employee handbooks for businesses (“Clients” and “Client” in the singular). This includes customization and delivery of employee handbooks to Clients .

3. Handbook Update Subscription

3.1 Handbook Updates Subscription

Clients have the option to subscribe to the Handbook Updates service, which provides regular updates to the employee handbook to reflect changes in laws and regulations. By subscribing to the Handbook Updates service, Clients agree to receive updates to their employee handbook as and when approriate.

3.2 Bundle Discount for Handbook Updates Subscription

Clients who subscribe to the Handbook Updates service will be eligible for discounts on the employee handbook service. The amount of discount will be based on a 10-month Minimum Commitment (“Commitment Period”) for any Client choosing to pay monthly for the Service rather than annually. Any Client terminating their subscription within the Commitment Period will responsible to repay the remaining difference between the non-discounted cost of a Handbook and the aggregate of payments then made by said Client to HR 4Sight for Services.

4. Payment Terms

4.1 Pricing and Payment

Clients shall pay the fees associated with the employee handbook service and any additional charges promptly in accordance with the pricing plan selected. All fees are exclusive of any applicable taxes, and Clients shall be responsible for the payment of any such taxes.

4.2 Invoicing and Payment Methods

Invoices for the Service will be sent to Clients based on the selected billing cycle (monthly or annually) [Are we going to send invoices before they account is changed each month or just end a receipt after the payment? I have seen it done both ways]. Payment can be made through the designated online payment methods or by any other method agreed upon between HR 4Sight and the Client.

4.3 Payment Failure

In the event of a payment failure or non-payment, HR 4Sight reserves the right to suspend or terminate the Service until the outstanding amount is settled.

5. Termination and Refunds

5.1 Termination

Clients may terminate the Service by cancelling their subscription through the member account portal or by providing a written notice to HR 4Sight. HR 4Sight may also terminate the Service at any time for any reason by providing written notice to the Client.

5.2 Refunds

Refunds for Services already rendered or contracted to be completed shall be at the sole discretion of HR 4Sight. 

6. Intellectual Property

6.1 Ownership

HR 4Sight retains all rights, title, and interest in and to any intellectual property created or developed during the provision of the Services, including but not limited to the employee handbook content, templates, and any other materials. Clients may use such content for internal purposes only and without limit but shall not transmit such content to any other party nor use such content for any commercial other than as an employee handbook for Clients’ internal use. 

6.2 Client Content

Clients shall ensure that any content, materials, or information provided to HR 4Sight for the purpose of creating the employee handbook does not infringe upon the intellectual property rights of any third party. Clients grant HR 4Sight a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute the Client’s content solely for the purpose of providing the Services.

7. Limitation of Liability

To the extent permitted by law, HR 4Sight shall not be liable for any indirect, consequential, special, or punitive damages arising out of or in connection with the use of the Service, including but not limited to any loss of profits, data, or business opportunities.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where HR 4Sight is registered. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts in that jurisdiction.
